1 Introduction & Acceptance of Terms

Welcome to Kwaebibirem.com ("the Platform," "Marketplace," "Website," "we," "us," or "our"). Kwaebibirem.com is an online marketplace that connects buyers and sellers within and beyond the Kwaebibirem community for the buying and selling of goods and services.

By accessing, browsing, or using this Platform, you ("User," "you," or "your") acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions ("Terms"), along with our Privacy Policy and any other policies referenced herein. If you do not agree to these Terms, you must immediately discontinue use of the Platform.

2 Definitions

• "Transaction" refers to the purchase and sale of goods or services between a Buyer and a Seller on the Platform.
• "Account" refers to the registered user profile created on the Platform.

3 Account Registration

3.1 Account Creation

To access certain features of the Marketplace, including buying and selling, you must create an account by providing accurate, current, and complete information, including but not limited to:

• Full legal name
• Valid email address
• Phone number
• Physical address/location
• Valid identification (where required)

3.2 Account Responsibilities

• You are solely responsible for maintaining the confidentiality of your account credentials (username and password).
• You are responsible for all activities that occur under your account.
• You must immediately notify Kwaebibirem.com of any unauthorized use of your account or any security breach.
• You may not share, transfer, or assign your account to another person without prior written consent from Kwaebibirem.com.

3.3 Account Accuracy

You agree to keep your account information accurate, current, and complete at all times. Failure to do so constitutes a breach of these Terms, which may result in immediate suspension or termination of your account.

3.4 One Account Per User

Each user is permitted to maintain only one (1) active account unless expressly authorized by Kwaebibirem.com. Multiple accounts created by the same individual may be suspended or terminated.

4 Eligibility

4.1 Age Requirement

You must be at least eighteen (18) years of age to use the Marketplace. By using the Platform, you represent and warrant that you meet this age requirement. If you are under 18, you may only use the Platform under the supervision and with the consent of a parent or legal guardian.

4.2 Legal Capacity

You must have the legal capacity and authority to enter into binding contracts. If you are registering on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

4.3 Geographical Eligibility

The Marketplace is available to users in Ghana and other regions as may be determined by Kwaebibirem.com from time to time. Users are responsible for ensuring that their use of the Platform complies with all applicable local, regional, and national laws.

5 Marketplace Services

5.1 Nature of the Platform

Kwaebibirem.com serves as an intermediary platform that facilitates transactions between Buyers and Sellers. We are not a party to any transaction between Buyers and Sellers, nor are we a Buyer or Seller in any transaction unless expressly stated.

5.2 No Guarantee

Kwaebibirem.com does not:

• Guarantee the quality, safety, legality, or availability of any items or services listed on the Marketplace.
• Guarantee that transactions will be completed successfully.
• Endorse or verify any Seller, Buyer, or listing on the Platform.
• Take ownership or possession of any items listed or sold on the Platform.

5.3 Platform Availability

We strive to ensure the Platform is available at all times but do not guarantee uninterrupted, error-free, or secure access. The Platform may be temporarily unavailable due to maintenance, updates, or factors beyond our control.

6 Buyer Terms

6.1 Purchasing

By placing an order on the Marketplace, you agree to:

• Purchase the item or service at the listed price plus any applicable fees, taxes, and shipping/delivery costs.
• Provide accurate delivery/shipping information.
• Make payment through the accepted payment methods on the Platform.

6.2 Buyer's Due Diligence

Buyers are responsible for:

• Reviewing all listing details, descriptions, images, and Seller information before making a purchase.
• Asking questions or seeking clarifications from the Seller before completing a transaction.
• Inspecting goods upon delivery and reporting any issues promptly.

6.3 Buyer Protection

Kwaebibirem.com may offer buyer protection programs at its discretion. Details of such programs, if available, will be outlined in a separate Buyer Protection Policy.

6.4 Returns & Refunds

• Return and refund policies may vary by Seller. Buyers should review the Seller's return and refund policy before making a purchase.
• Kwaebibirem.com may, at its discretion, facilitate dispute resolution between Buyers and Sellers regarding returns and refunds.
• Refund requests must be submitted within 7 days of receiving the item unless otherwise stated in the Seller's policy.

6.5 Order Cancellation

• Buyers may cancel an order before the item has been shipped or dispatched by the Seller.
• Once an item has been shipped, cancellation may not be possible, and the Buyer may need to follow the return process.

7 Seller Terms

7.1 Seller Obligations

By listing items or services on the Marketplace, Sellers agree to:

• Provide accurate, truthful, and complete descriptions of all items and services listed.
• Set fair and transparent pricing.
• Honor all confirmed orders and deliver items/services as described and within the agreed timeframe.
• Comply with all applicable laws, regulations, and standards related to the sale of goods and services.
• Obtain all necessary licenses, permits, and approvals required for selling their products or services.
• Respond to Buyer inquiries promptly and professionally.

7.2 Seller Representations & Warranties

Sellers represent and warrant that:

• They are the legal owner of or authorized to sell the listed items.
• All listed items are authentic, lawfully obtained, and free from any liens or encumbrances.
• All items meet applicable safety and quality standards.
• Listings do not infringe on the intellectual property rights of any third party.

7.3 Shipping & Delivery

• Sellers are responsible for packaging, shipping, and delivering items to Buyers in a timely and secure manner.
• Sellers must provide accurate shipping/delivery timelines and tracking information where applicable.
• Sellers bear the risk of loss or damage during shipping unless otherwise agreed with the Buyer.

7.4 Seller Ratings & Reviews

• Buyers may leave ratings and reviews for Sellers. Sellers agree not to manipulate, falsify, or solicit fraudulent reviews.
• Kwaebibirem.com reserves the right to remove any reviews that violate our policies.

7.5 Seller Verification

Kwaebibirem.com may require Sellers to undergo a verification process, which may include providing:

• Valid government-issued identification
• Business registration documents
• Proof of address
• Tax identification number (TIN)

8 Listing Policies

8.1 Listing Standards

All listings must:

• Be accurate, truthful, and not misleading.
• Include clear images that accurately represent the item or service.
• Be placed in the appropriate category.
• Not duplicate existing listings by the same Seller.
• Comply with all applicable laws and these Terms.

8.2 Listing Content

Sellers are solely responsible for the content of their listings. Kwaebibirem.com reserves the right to review, edit, or remove any listing that violates these Terms or our policies without prior notice.

8.3 Pricing

• All prices must be listed in Ghana Cedis (GHS) unless otherwise specified.
• Prices must include or clearly state any applicable taxes, fees, or additional charges.
• Sellers must not engage in price manipulation or deceptive pricing practices.

9 Fees & Payments

9.1 Marketplace Fees

Kwaebibirem.com may charge the following fees:

• Listing Fees: A fee may be charged for listing items on the Platform.
• Commission/Transaction Fees: A percentage-based commission may be deducted from the Seller's earnings on each successful transaction.
• Featured Listing Fees: Additional fees may apply for premium or featured listings.
• Subscription Fees: Sellers may opt for subscription-based plans with additional features and benefits.

All applicable fees will be clearly communicated to Sellers before they are charged. Kwaebibirem.com reserves the right to modify its fee structure with prior notice.

9.2 Payment Methods

The Marketplace accepts payments through:

• Mobile Money (MTN, Vodafone Cash, AirtelTigo Money)
• Bank transfers
• Debit/Credit cards
• Other payment methods as may be made available from time to time

9.3 Payment Processing

• Payments may be processed through third-party payment processors. Users agree to comply with the terms and conditions of such processors.
• Kwaebibirem.com is not responsible for any errors, delays, or failures caused by third-party payment processors.

9.4 Seller Payouts

• Seller earnings (minus applicable fees and commissions) will be disbursed according to the payout schedule established by Kwaebibirem.com.
• Kwaebibirem.com may hold funds for a reasonable period to protect against fraud, chargebacks, or disputes.

9.5 Taxes

Users are solely responsible for determining and fulfilling their tax obligations. Kwaebibirem.com does not provide tax advice and is not responsible for any tax liabilities arising from transactions on the Platform.

10 Prohibited Items & Activities

10.1 Prohibited Items

The following items may not be listed or sold on Kwaebibirem.com:

• Illegal drugs, narcotics, and controlled substances
• Firearms, ammunition, explosives, and weapons
• Counterfeit, fake, or replica goods
• Stolen property
• Hazardous materials and dangerous goods
• Pornographic or sexually explicit material
• Human organs, body parts, or bodily fluids
• Endangered species, wildlife, and products derived therefrom
• Items that infringe on intellectual property rights (pirated software, counterfeit brands, etc.)
• Prescription medications and unapproved medical devices
• Tobacco and tobacco-related products (unless permitted by law)
• Alcoholic beverages (unless properly licensed)
• Lottery tickets, gambling services, or pyramid/Ponzi schemes
• Any items prohibited by the laws of Ghana or the Buyer's/Seller's jurisdiction

10.2 Prohibited Activities

Users may not engage in the following activities:

• Fraud, scams, phishing, or any form of deception
• Money laundering or terrorist financing
• Harassment, abuse, threats, or intimidation of other users
• Spamming, unsolicited advertising, or promotional messages
• Creating fake accounts or impersonating others
• Manipulating prices, reviews, ratings, or search results
• Circumventing or attempting to circumvent the Platform's security measures
• Scraping, data mining, or using automated tools to access the Platform
• Using the Platform for any unlawful purpose
• Engaging in transactions outside the Platform to avoid fees
• Interfering with the proper functioning of the Platform
• Posting false, misleading, or defamatory content

10.3 Enforcement

Kwaebibirem.com reserves the right to take action against users who violate these policies, including but not limited to:

• Removing listings or content
• Suspending or terminating accounts
• Withholding funds
• Reporting violations to law enforcement authorities
• Pursuing legal action

11 Intellectual Property

11.1 Kwaebibirem.com's Intellectual Property

All content, materials, features, and functionality of the Platform — including but not limited to the website design, logo, trademarks, text, graphics, software, and code — are the exclusive property of Kwaebibirem.com or its licensors and are protected by copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works from, publicly display, or exploit any of Kwaebibirem.com's intellectual property without prior written consent.

11.2 User Intellectual Property

14 Dispute Resolution

Kwaebibirem.com encourages Buyers and Sellers to resolve disputes directly. In the event that a dispute cannot be resolved between the parties, Kwaebibirem.com may, at its discretion, provide mediation or dispute resolution services.

14.2 Dispute Resolution Process

1. Direct Communication: Buyers and Sellers should first attempt to resolve the issue through direct communication on the Platform.
2. Report to Kwaebibirem.com: If the dispute remains unresolved, either party may report the issue to Kwaebibirem.com through the designated dispute resolution channel.
3. Mediation: Kwaebibirem.com may review the dispute, gather evidence from both parties, and provide a resolution or recommendation.
4. Final Decision: Kwaebibirem.com's decision on any dispute shall be final and binding on both parties, subject to applicable laws.

14.3 Dispute Resolution Timeframe

• Disputes must be reported within 14 days of the transaction date or delivery of the item/service.
• Kwaebibirem.com aims to resolve disputes within 30 days of receiving a complete dispute report, though this timeframe may vary depending on the complexity of the dispute.

14.4 Disputes with Kwaebibirem.com

Any dispute arising between a user and Kwaebibirem.com shall be resolved through:

1. Negotiation — The parties shall first attempt to resolve the dispute amicably.
2. Mediation — If negotiation fails, the parties shall submit to mediation under mutually agreed terms.
3. Arbitration — If mediation fails, the dispute shall be submitted to binding arbitration in accordance with the Alternative Dispute Resolution Act, 2010 (Act 798) of Ghana.
4. Jurisdiction — The courts of Ghana shall have exclusive jurisdiction over any legal proceedings arising from these Terms.

15 Limitation of Liability

The Platform and all services are provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

15.2 Limitation

To the maximum extent permitted by applicable law, Kwaebibirem.com, its directors, officers, employees, agents, affiliates, and partners shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Any damages arising from transactions between Buyers and Sellers
• Any damages arising from unauthorized access to or alteration of your data
• Any damages resulting from the actions or omissions of third parties
• Any damages resulting from service interruptions, errors, or technical failures
• The quality, safety, legality, or any aspect of items or services listed on the Platform

15.3 Maximum Liability

15.4 Essential Purpose

The limitations set forth in this section shall apply even if a remedy fails of its essential purpose and regardless of whether Kwaebibirem.com has been advised of the possibility of such damages.

16 Indemnification

You agree to indemnify, defend, and hold harmless Kwaebibirem.com, its directors, officers, employees, agents, affiliates, successors, and assigns from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorney's fees) arising from or related to:

• Your violation of any third party's rights, including intellectual property rights
• Any content you post or share on the Platform
• Any transaction you enter into with another user
• Any dispute between you and another user

17 Termination

You may terminate your account at any time by:

• Using the account deletion feature on the Platform (if available)

Upon termination, you remain responsible for any outstanding transactions, obligations, or fees.

17.2 Termination by Kwaebibirem.com

Kwaebibirem.com reserves the right to suspend or terminate your account, at its sole discretion, with or without notice, for any reason, including but not limited to:

• Violation of these Terms or any applicable policies
• Fraudulent or illegal activity
• Non-payment of fees
• Extended inactivity
• At the request of law enforcement or government agencies
• Discontinuation of the Platform or any part thereof

17.3 Effect of Termination

Upon termination:

• Your right to access and use the Platform will immediately cease.
• Any pending transactions may be cancelled or completed at Kwaebibirem.com's discretion.
• Kwaebibirem.com may retain your data as required by law or for legitimate business purposes.
• Sections of these Terms that by their nature should survive termination shall remain in effect (including but not limited to Limitation of Liability, Indemnification, Intellectual Property, and Governing Law).

Users are responsible for ensuring that their use of the Platform complies with all applicable local, regional, national, and international laws and regulations.

20 General Provisions

20.1 Entire Agreement

These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Kwaebibirem.com and supersede all prior agreements, understandings, and communications.

20.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

20.3 Waiver

Kwaebibirem.com shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to natural disasters, pandemics, war, terrorism, government actions, power outages, internet failures, or other force majeure events.

20.6 No Agency

Nothing in these Terms shall be construed as creating a partnership, joint venture, employment, or agency relationship between you and Kwaebibirem.com.

20.7 Language

These Terms are written in English. In the event of any conflict between the English version and any translated version, the English version shall prevail.
